CERT TECHNOLOGY - REGISTRATION TERMS AND CONDITIONS

These Registration Terms and Conditions ("Terms") govern your registration for and use of the online invoicing, billing, inventory, customer-management, reporting, and related software services (the "Service") provided by CERT Technology ("CERT Technology", "we", "us", or "our"). By creating an account, selecting "I Agree", or using the Service, you confirm that you have read, understood, and accepted these Terms.
1. ELIGIBILITY AND AUTHORITY
You must be at least 18 years old and legally capable of entering into a binding agreement. If you register on behalf of a business, society, cooperative, firm, company, or other organisation, you confirm that you have authority to accept these Terms for that organisation.
2. ACCOUNT REGISTRATION
You must provide complete, current, and accurate registration information. You are responsible for maintaining the confidentiality of your password and account credentials and for all activity carried out through your account. You must notify CERT Technology promptly if you suspect unauthorised access or misuse. Accounts may not be sold, transferred, shared outside your organisation, or used to impersonate another person or business.
3. SUBSCRIPTIONS, PAYMENTS, AND ACTIVATION
Access to some features may require a paid subscription. Plan prices, billing periods, invoice limits, client limits, and included features are shown during registration or communicated by CERT Technology. Where payment confirmation is required, account activation may remain pending until CERT Technology verifies payment. Unless required by applicable law or expressly agreed in writing, fees already paid are non-refundable. CERT Technology may revise plans or prices for future billing periods after giving reasonable notice.
4. PERMITTED USE
You may use the Service for lawful business invoicing, estimates, quotations, payments, inventory records, customer records, reports, and related administrative purposes. You must not use the Service to create false or fraudulent invoices, evade taxes, claim improper tax benefits, distribute unlawful material, interfere with the Service, probe security, introduce malicious code, access another tenant's data, or violate any applicable law or third-party right.
5. INVOICE, GST, AND TAX RESPONSIBILITY
The Service is a software tool and does not provide legal, accounting, GST, tax, or financial advice. You are solely responsible for verifying customer details, GSTINs, tax rates, HSN or SAC codes, invoice numbering, place of supply, taxable values, exemptions, filing obligations, e-invoice requirements, and all other information entered into or generated through the Service. You must review every invoice and report before relying on, issuing, filing, or submitting it. CERT Technology does not guarantee that an invoice, report, tax calculation, or template will satisfy every legal or regulatory requirement applicable to your business.
6. USER DATA AND RECORDS
You retain ownership of the business information and content you enter into the Service. You authorise CERT Technology to host, process, back up, transmit, and display that data as reasonably necessary to operate, secure, support, and improve the Service. You confirm that you have the lawful right and any necessary consent to upload and process personal data belonging to customers, employees, suppliers, or other individuals.
7. DATA PROTECTION AND SECURITY
CERT Technology will use reasonable administrative and technical measures to protect account and business data. No internet service or storage system can be guaranteed to be completely secure or continuously available. You are responsible for using strong passwords, limiting staff access, keeping your devices secure, and maintaining copies of records required for legal, tax, or business purposes. A separate privacy notice may provide further details about the collection and use of personal data.
8. SERVICE AVAILABILITY AND CHANGES
We aim to keep the Service available, but access may occasionally be interrupted for maintenance, upgrades, internet or hosting failures, security incidents, third-party service failures, or events beyond our reasonable control. We may add, modify, suspend, or discontinue features where reasonably necessary. We do not guarantee uninterrupted, error-free, or permanently available operation.
9. THIRD-PARTY SERVICES
The Service may connect to payment gateways, email providers, messaging services, hosting providers, tax portals, or other third-party services. Those services are governed by their own terms and policies. CERT Technology is not responsible for third-party outages, rejected transactions, delivery failures, policy changes, or acts and omissions outside our control.
10. INTELLECTUAL PROPERTY
CERT Technology owns or licenses the Service, software, design, branding, documentation, and related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable, and revocable right to use the Service during your valid subscription. You may not copy, resell, sublicense, reverse engineer, modify, or commercially exploit the Service except where applicable law expressly permits it.
11. SUPPORT AND COMMUNICATIONS
CERT Technology may send operational messages concerning account activation, payments, security, maintenance, subscriptions, and Service updates. For assistance, contact CERT Technology by telephone or WhatsApp at 7088673260. Marketing communications, where used, will be handled separately and may be opted out of where applicable.
12. SUSPENSION AND TERMINATION
We may suspend or terminate access where fees remain unpaid, registration information is false, the Service is misused, security is threatened, these Terms are breached, or continued service would violate law or expose CERT Technology or others to material risk. You may stop using the Service at any time. On termination, access may end immediately or at the end of the paid period, depending on the reason for termination. You should export any records you need before your access ends.
13. DISCLAIMERS
To the maximum extent permitted by law, the Service is provided on an "as available" basis. CERT Technology disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, uninterrupted availability, and absolute accuracy. You remain responsible for professional review, statutory filings, tax payments, and business decisions.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, CERT Technology will not be liable for indirect, incidental, special, punitive, or consequential loss, including loss of profit, revenue, goodwill, business opportunity, or data. CERT Technology's total liability arising from the Service will not exceed the subscription fees paid by you to CERT Technology during the three months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
15. INDEMNITY
You agree to indemnify and hold CERT Technology harmless from claims, penalties, losses, and reasonable costs arising from your unlawful use of the Service, false or misleading invoices, tax non-compliance, infringement of third-party rights, misuse of personal data, or breach of these Terms.
16. CHANGES TO THESE TERMS
CERT Technology may update these Terms to reflect legal, security, operational, or Service changes. Material changes may be communicated through the Service or registered contact details. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires fresh consent.
17. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of India. The parties should first attempt to resolve disputes in good faith by contacting CERT Technology at 7088673260. Subject to applicable law, disputes will be submitted to the courts having jurisdiction where CERT Technology maintains its principal place of business.
18. GENERAL TERMS
If any provision is held invalid or unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. These Terms, together with any plan details, privacy notice, or written service agreement applicable to your account, constitute the agreement governing your use of the Service.
